Solésence reported second quarter gross margin of 31 percent on Wednesday, against 32 percent a year earlier. A one point decline. That 32 was three minutes old!! The company's restated quarterly report reached the SEC at 5.03 pm eastern, on a day its earnings call was scheduled to begin at 5.00. The results release crossed the wire at 5.05. Inside that report, ten reporting periods from December 2023 through March 2026 are declared no longer reliable, and the year ago quarter's gross profit is rewritten from 5.877 million dollars to 6.443 million on revenue that never moved. What investors held in August 2025 was 28.9 percent. This quarter came in at 31.0. Against the number they had at the time, margin rose two points. Against the number created two minutes before the release, it fell one. The release never uses the word restatement. Its comparative column prints the restated 6,443 gross profit and the restated 3,233 net income without marking either as restated. Its one accounting sentence says the company has completed its evaluation regarding historical inventory costing allocation methodologies. The call script, filed in the same 8-K, says versus a restated 32 percent. The accounting is correct. ASC 250 requires restated comparatives. No rule says a company must flag which half of its own comparison is new. The call had already been moved from 11 August, to give the company time, in its own words, to complete its quarterly financial reporting and review process. The report it produced was filed without auditor review, and says so. And the correction does not correct evenly. Cost of revenue falls by 566 thousand dollars, gross profit rises by 566, and research and development and selling and administrative both show no change at all. Operating income should move by 566. It prints 553, and so does income before taxes. Net income closes at 566. No amendment has been filed. This is the gap automated coverage cannot see. A wire service reads the release, takes the two percentages it is handed, and publishes a decline. The document that rewrote one of those percentages was filed separately, minutes earlier, and says nothing on its face about margin. The comparison column is where a restatement hides in plain sight, because it is the one number nobody treats as news. 🤔
