Breaking🚨🚨: Another public company is preparing to leave Delaware.
Granite Ridge Resources (NYSE:GRNT) votes tomorrow on moving its legal home to Texas.
Its board unanimously supports the move.
And the company’s own SEC filing explains why:
• Granite Ridge says it has “no meaningful connection to Delaware” beyond the fact that it incorporated there
• It cites growing uncertainty from high-profile Delaware court decisions
• It points to the cost of shareholder litigation and contingency-fee lawsuits
• It cites rising D&O insurance costs
• It cites Delaware franchise taxes
• It says Texas now offers a serious and increasingly attractive corporate-law alternative
Granite Ridge is not leaving because Texas forced it to.
It is leaving because Delaware gave it reasons to reconsider.
The vote is tomorrow.
If approved, the company expects to complete the move on August 5.
The automatic Delaware default is collapsing one board vote at a time.
