In an M&A drafting task, the model was asked to draft a purchase agreement and disclosure schedules from the deal file: → It completed the required consents schedule with the relevant landlord consent, change of control waiver, and contracts containing anti-assignment or change of control provisions. The comparison output left the schedule blank and listed these as items to address later. → It correctly defined the restricted territory as the United States, Canada and the United Kingdom, while leaving Australia bracketed for client confirmation. The comparison output included only the United States. → It capped each stockholder’s indemnity liability at their pro rata share of damages, rather than the consideration they received.
