🚨 NEW: A DELAWARE JUDGE JUST CALLED A DE-SPAC FINANCING DEAL “IMPRESSIVELY ONE-SIDED” AND ENFORCED IT ANYWAY.
Vice Chancellor Travis Laster granted Meteora Capital summary judgment against Roadzen today. The opinion calculates that Roadzen sent Meteora roughly $46.36 million after the merger, while Meteora’s settlement payment was only $914,726, leaving Meteora with a $45.1 million net gain on the forward before additional trading profits.
Laster wrote that the agreement “stacked the deck” in Meteora’s favor and even described one provision with a single word: “Slick.” His bottom line was pure Delaware contract law: “A frog must account for a scorpion’s character.”
